INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement ("Agreement") is entered into as of 1 September 2026 between Harborline Coffee Roasters LLC of 212 Dock Street, Seattle, WA 98107 ("Client") and Tomas Ferreira, doing business as Ferreira Design Studio, of 45 Pine Court, Seattle, WA 98115 ("Contractor").
1. Services. Contractor will design a new brand identity for Client, including a primary logo, packaging designs for three coffee product lines, and a one-page brand style guide (the "Services"). Contractor will determine the manner and means by which the Services are performed.
2. Term. This Agreement begins on 1 September 2026 and continues until 31 October 2026, unless terminated earlier under Section 7.
3. Compensation. Client will pay Contractor a fixed project fee of $7,800, payable 50% on signing and 50% on delivery of final files. Contractor will invoice Client, and each invoice is due within 15 days of receipt.
4. Independent Contractor Status. Contractor is an independent contractor and not an employee, partner, or agent of Client. Contractor is solely responsible for all taxes, insurance, and statutory contributions arising from payments under this Agreement, and is not entitled to any employee benefits from Client.
5. Intellectual Property. Upon receipt of full payment, all deliverables created under this Agreement are assigned to and owned by Client. Contractor may display the completed work in its portfolio.
6. Confidentiality. Contractor will keep confidential any non-public business information of Client disclosed during the engagement and will use it only to perform the Services.
7. Termination. Either party may terminate this Agreement with 14 days' written notice. Client will pay Contractor for all Services properly performed through the date of termination.
8. Governing Law. This Agreement is governed by the laws of the State of Washington, USA.
9. Entire Agreement. This Agreement is the entire agreement between the parties regarding the Services and supersedes all prior discussions. Any amendment must be in writing and signed by both parties.

- Is an independent contractor agreement legally binding?
- A written agreement signed by both parties is generally binding when it reflects a genuine exchange: services in return for payment. A clear written contract is far easier to rely on than a verbal arrangement if a dispute arises.
